Through signed, written license agreement(s), Infor grants you specific rights regarding the use of its software. We encourage you to take time to read and thoroughly understand the detailed terms and conditions of your agreement(s).
Whether intentional or not, unlicensed use of Infor's software is a breach of contract and a violation of intellectual property laws. As part of its obligation to investors, employees, and compliant customers, Infor enforces its contractual and intellectual property rights through various means, including through customer audits. Such audits are a standard industry practice.
If You Are Contacted About an Audit
When Infor notifies your organization of an upcoming audit, a representative will contact you to initiate the audit. Normally, the representative will request your assistance in collecting usage data and validating the audit findings. This process should require minimal time on your part.

Cost of Non-Compliance
If anything changes in your technology environment, Infor urges you to proactively review whether those changes cause you to become noncompliant under your license agreement. If they do, promptly contact your Infor sales representative so that proper licensing can be obtained.

Infor reserves the right to use all remedies available under the contract and in law or at equity to resolve any license violations that are discovered and enforce its intellectual property rights. Remedies may include, but are not limited to:
- Charging 100% of list price for the software licenses required to correct the violations.
- Charging maintenance and support fees to cover the back maintenance during the unlicensed software use.
- Charging interest on all amounts due for the additional licenses, maintenance, and support.
- Suspending maintenance and support services, as well as software updates.
- Terminating the license agreement and associated licenses.
- Commencing legal action to stop unauthorized use or misappropriation of Infor's intellectual property.
