Company Sites Terms of Use
These Terms of Use explain the terms and conditions for accessing and using this Infor website and any other Infor websites, resources, content, information and application programming interfaces (APIs) that link/connect to these Terms of Use or incorporate them by reference (collectively, the “Company Sites”). These Terms of Use are an agreement between you and Infor (defined below), which provides the Company Sites. Through the Company Sites, you have access to various resources and content, including but not limited to (a) apps, software (including updates), and software as a service offerings (“Software”); (b) audio and video materials, data, graphics, images, messages, photographs, text, web pages, and documents such as press releases, white papers and product data sheets (“Materials”); and (c) blogs, bulletin boards, chat spaces, discussion forums, e-mail functions, and other services in connection with which you can access or use the Resources (as defined below) (“User Services”). Software, Materials, User Services, and other information, content and services available on or through the Company Sites are collectively referred to as “Resources.” By accessing or using the Company Sites or Resources provided on or through the Company Sites, you consent to be legally bound by these Terms of Use and our Privacy Policy (below) and any new version of such posted since your last visit. If you do not agree to these Terms of Use and the Privacy Policy, you are not granted permission to use the Company Sites and must exit immediately.
These Terms of Use and the Privacy Policy apply to any person or entity accessing and/or using the Company Sites ("User"), including Infor customers who are authorized to register to use the customer portal (the "Customer Portal"). If you are accepting these Terms of Use and are accessing or using the Company Sites on behalf of a legal entity, the words “you” and “your” as used in these Terms of Use shall refer to such entity. The words “we”, “us” and “our” as used in these Terms of Use mean collectively Infor Equity Holdings, LLC and its direct and indirect subsidiaries (collectively “Infor”).
Privacy Policy
The privacy policy (the "Privacy Policy") for the Company Sites is posted at http://www.infor.com/about/privacy. The terms of the Privacy Policy, and any future amendments to it, are hereby incorporated by reference in its entirety into these Terms of Use and subject to these terms. Third parties providing goods or services to you (including those advertising or providing links on the Company Sites) may have privacy policies or practices that differ from the Privacy Policy. Please check third-party privacy disclosures for details.
Additional Terms and Conditions
Some areas of the Company Sites or Resources provided on or through the Company Sites may have additional guidelines, license agreements, rules, user agreements or other terms and conditions that apply to your access or use of that area of the Company Sites or Resources. If there is a conflict or inconsistency between these Terms of Use and the guidelines, license agreements, rules, user agreements or other terms and conditions for a specific area of the Company Sites or for specific Resources, the latter shall have precedence with respect to your access and use of that area of the Company Sites or Resources.
PLEASE NOTE THAT INFOR CUSTOMERS WHO ARE AUTHORIZED TO REGISTER TO USE THE CUSTOMER PORTAL ARE SUBJECT TO ADDITIONAL TERMS OF USE WHICH GOVERN THE USE THEREOF (THE "CUSTOMER PORTAL TERMS OF USE"). THE CUSTOMER PORTAL TERMS OF USE ARE AVAILABLE ON THE CUSTOMER PORTAL REGISTRATION AREA AND MUST BE ACCEPTED BEFORE ACCESS TO THE CUSTOMER PORTAL IS PERMITTED.
User Profile
By accessing or using the Company Sites, you certify that you are the age of majority or older. Persons who are not of the age of majority are not eligible to use the Company Sites, and we ask that no information in relation to such persons be submitted to us. If you register to receive information or certain products through the Company Sites, you are representing that you are at least the age of majority and that your registration information is truthful, accurate, updated and complete. A username and password will be assigned by us. You are responsible for maintaining the secrecy of your password and for activities occurring on the basis thereof. Each User must register separately, although corporate entities may possess only one username and password. Thus, only one registration is required for such corporate entities. You may not disclose your username and password to non-authorized individuals within your organization or to outside third parties. You may not use another User’s username and password without their explicit authorization. We will not be responsible if you suffer any harm or loss because you do not keep your password secret, if you let someone else use your account, if you use someone else’s password or account, or if you become aware of or suspect unauthorized use of your password or account but do not tell us promptly.

The Company Sites may contain information, data, software (including updates), downloads, images, video clips, material, music, links, logos and other Resources (collectively, the "Content") that are the copyright, trademark or other intellectual property of Infor and/or its affiliates, subsidiaries, partners and/or third-party suppliers. The Content in the Company Sites is copyrighted individually and as a collective work. You will ensure that all copyright, trademark or other proprietary rights notices appearing on any Content remain intact and legible.
Linking to Company Sites
If you operate a website, then you may not display the Content within a frame or border, or "deep link" or harvest Content located below the upper-most URL. You will not link to the Company Sites or Content in a manner that suggests an endorsement or affiliation between the sites absent the written consent of the Infor. You will remove any link to the Company Sites that the Infor finds objectionable promptly upon request.
Reservation of Rights; Certain Prohibitions
By offering the Company Sites for use, we provide you with a worldwide, nonexclusive, nontransferable, revocable, limited license to access and use of the information on the Company Sites, strictly subject to and in accordance with these Terms of Use. The Company reserves all rights, including but not limited to use of the Company Sites and related intellectual property rights, not specifically granted to you. Except as specifically authorized in these Terms of Use, you may not store, copy, reproduce, adapt, reformat, create derivative works of, transmit, disseminate, publicly display or perform any copyrighted material from the Company Sites. To the fullest extent permitted by law, you may not decompile, disassemble or otherwise reverse engineer any products and/or software obtained through the Company Sites. You agree not to: (a) use the Company Sites in any manner that could disable, overburden, damage, or impair the Company Sites, or interfere with any other access or use of the Company Sites, including, any user's ability to engage in real-time activities through the Company Sites; (b) use any robot, spider or other automatic device, process or means to access the Company Sites for any purpose, including to scrape, data mine, monitor or copy any of the material on the Company Sites; (c) use any manual process to monitor or copy any of the material or other Resources on the Company Sites, or to engage in any other unauthorized purpose without the express prior written consent of Infor; (d) otherwise use any device, software or routine that interferes with the proper working of the Company Sites; or (e) otherwise attempt to interfere with the proper working of the Company Sites. It is a violation of these Terms of Use to assist or facilitate others in violating these Terms of Use, including by crawling or scraping the Company Sites in any form, for any purpose without our prior written consent.
Third Party Links & Advertisers
Content, goods or services may be offered by affiliates, partners and/or third parties through the Company Sites. These are offered as a convenience to you. The Company has no control over and does not endorse this content, goods or services. The Company is a distributor and not a re-publisher of third-party content and is an advertising channel for third party goods and services. Third party providers may change, add or discontinue their content or offerings at any time without notice. They may impose additional or different conditions on your use of their content, goods or services (please read any additional terms that may be posted by such providers). THE COMPANY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, REGARDING CONTENT, GOODS OR SERVICES THAT YOU OBTAIN FROM THIRD PARTY PROVIDERS. YOU WILL LOOK SOLELY TO THE THIRD-PARTY PROVIDER FOR ALL CLAIMS REGARDING SUCH MATTERS.
User Content
The Company Sites may allow you to post, upload, transmit through or otherwise make your content (e.g., feedback, comments, reviews, photos or other content) available to other users of the Company Sites (collectively, “User Content”). Infor is not obligated to, and does not regularly review, prescreen, monitor, delete, or edit User Content. You represent that (a) any User Content you provide is complete and accurate; (b) you own or otherwise control all the rights to such User Content and have the authority to grant rights in such User Content as set forth in these Terms of Use; and (c) such User Content does not violate any provision in these Terms of Use and will not cause injury to any person or entity. Infor shall not be liable to you for any loss caused by your failure to comply with this Section. Infor shall have the right, but not the obligation, in its sole discretion, to edit, move, delete or remove any User Content made available through the Company Sites, for any reason, including a breach of these Terms of Use or violation of law. You, however, are solely responsible for any User Content provided by you and you will defend (at Infor’s option), indemnify and hold harmless Infor, and its officers, directors, contractors, affiliates, business partners, employees and other representatives (collectively, the “Company Indemnities”) from and against all losses, liabilities, and costs (including reasonable attorneys’ fees) resulting from any User Content you provide in, or through, the Company Sites. You hereby grant Infor a perpetual, royalty-free, irrevocable, worldwide, unlimited, non-exclusive license to use, reproduce, modify, publish, transmit, perform, display, sublicense, translate, distribute and create derivative works from any User Content provided by you in, or through, the Company Sites for any purpose whatsoever, in any form, media or technology now or hereafter known or developed. No credit, approval or compensation is due to you for any such use of such User Content. Please note any User Content submitted by you is and will be treated as non-confidential and non-proprietary as to you, provided that personal information we collect on the Company Sites will be subject to our Privacy Policy.

ALL WARRANTIES, INCLUDING MERCHANTABILITY, QUALITY, INTEGRATION, ACCURACY, WORKMANLIKE EFFORT, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT ARE DISCLAIMED. INFOR IS NOT RESPONSIBLE FOR UNAUTHORIZED ACCESS TO OR DISRUPTION OF YOUR COMMUNICATIONS, CONTENT OR TRANSACTIONS ENTERED INTO WITH OR THROUGH THE COMPANY SITES. INFOR IS NOT RESPONSIBLE FOR ANY HARASSING, DEFAMATORY, ILLEGAL OR IMPROPER CONDUCT OR CONTENT OF THIRD PARTIES, OR FOR ANY INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS BY THIRD PARTIES. WITHOUT LIMITING THE FOREGOING, INFOR DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING THE CAPABILITY, CORRECTNESS, ACCURACY, RELIABILITY, SECURITY OR OTHERWISE OF THE COMPANY SITES OR ITS CONTENT OR RESOURCES, OR THAT THE COMPANY SITES WILL MEET YOUR REQUIREMENTS. Limitation of Liability
IN NO EVENT IS INFOR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SHAREHOLDERS, OWNERS, OR AGENTS LIABLE WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST SAVINGS, LOST PROFIT, LOST GOODWILL, LOST OR CORRUPTED DATA OR BUSINESS INTERRUPTION) EVEN IF NOTIFIED IN ADVANCE OF SUCH POSSIBILITY. THIS LIMITATION IS A MATERIAL CONDITION TO THESE TERMS OF USE, IS COMMERCIALLY REASONABLE AND HAS BEEN FACTORED INTO THESE TERMS OF USE AS A WHOLE. SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, AND IN THAT CASE THE FOREGOING LIMITATION MAY NOT APPLY TO YOU.
Indemnification
You agree to defend, indemnify and hold harmless Infor and its officers, directors, employees, affiliates, shareholders, owners, agents, advisers and consultants, from and against any claims, actions, demands, liability, damages (including legal and professional fees) arising from your use of the Company Sites, your conduct, content, communications, alleged infringement of third-party intellectual property or privacy rights, or violation of these Terms of Use.
Protected Parties
THE WARRANTY DISCLAIMERS, LIABILITY LIMITS, INDEMNITIES AND RESERVATION OF RIGHTS CONTAINED IN THESE TERMS OF USE PROTECT THE OWNER OF THE COMPANY SITES, INFOR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SHAREHOLDERS, OWNERS, AGENTS, ADVISORS, ADVERTISERS, DISTRIBUTORS, RESELLERS, SUPPLIERS, PUBLISHERS AND PROMOTERS.
Copyright Infringement Complaint Procedures
Infor respects the rights of all copyright holders. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Infor’s Copyright Agent the following information required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. 512:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
- Identification of the material that is claimed to be infringing and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material (e.g. URL link);
- Information reasonably sufficient to permit us to contact the complaining party;
- A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

Force Majeure
Infor is not responsible for any delay or failure in performance of the Company Sites in whole or in part for any reason including, without limitation: fires, floods, storms, earthquakes, civil disturbances, disruption of telecommunications, transportation, utilities, services or supplies, governmental action, computer viruses, corruption of data, hacker attack, incompatible or defective equipment, software or services or otherwise. Nothing herein enlarges any warranty or diminishes any disclaimer under these Terms of Use. If you violate or exceed the scope of these Terms of Use or infringe any proprietary rights in connection therewith, then you agree Infor would be irreparably harmed and may (in addition to other relief and without having to post bond) obtain a court order enjoining your infringing activity.
Governing Law And Forum
THESE TERMS OF USE SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE SUBSTANTIVE LAWS OF THE STATE OF DELAWARE, WITHOUT REGARD TO CONFLICTS OF LAW PRINCIPLES. YOU AGREE TO INITIATE AND MAINTAIN ANY LEGAL ACTION IN THE STATE OR FEDERAL COURTS OF THE STATE OF DELAWARE, AND IRREVOCABLY CONSENT TO EXCLUSIVE PERSONAL JURISDICTION AND VENUE THEREIN.
YOU ARE RESPONSIBLE FOR COMPLYING WITH YOUR OWN LOCAL LAWS, WHICH MAY VARY WITH RESPECT TO CERTAIN ACTIVITIES OR PEOPLE. Should you bring legal action against the Company, then you irrevocably agree that it will be brought and maintained within one (1) year after the claim arises or be barred. In the event your legal action is unsuccessful, you further agree to compensate Infor for all costs and fees associated with any such legal action, including, without limitation, any and all attorneys’ fees. If Infor must enforce these Terms of Use, then you agree to accept electronic service at your stated e-mail address.
Export Restrictions/Technology & Data Transfer/Legal Compliance.
You may not access, download, use or export the Company Sites, or the Resources or Content provided on or through the Company Site, including without limitation technology, technical data and information, in violation of U.S. export laws or regulations, or in violation of any other applicable laws or regulations. You agree to comply with all export laws, restrictions and regulations of any United States or applicable agency or authority, and to not directly or indirectly provide or otherwise make available any services and products of Infor in violation of any such restrictions, laws or regulations, including, without limitation, laws, restrictions or regulations pertaining to the development, design, manufacture or production of nuclear, chemical or biological weapons or missile technology. As applicable, you shall obtain and bear all expenses related to any necessary licenses, authorizations, and/or exemptions with respect to your own use of the services of Infor outside the U.S. Neither the services or products of Infor nor the underlying information or technology may be downloaded or otherwise provided or made available, either directly or indirectly, into any country subject to U.S. trade sanctions, (Supplement No. 1 to Part 740, Export Administration Regulations, Country Group E:1), to individuals or entities controlled by such countries, or to nationals or residents of such countries other than nationals who are lawfully admitted permanent residents of countries not subject to such sanctions. By agreeing to these Terms of Use, you agree to the foregoing and represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list. This provision will survive termination of the Terms of Use.
European Union Residents
If you reside in the European Union (EU) or if any transfer of information between you and the Company Sites is governed by the General Data Protection Regulation (Regulation 2016/679), then you consent to the transfer of such information outside of the European Union to such other countries as may be contemplated by the features and activities provided by the Company Sites.
Relationship Of Parties
There are no third-party beneficiaries of these Terms of Use. The parties are independent to one another and are not related by agency, franchise, partnership, employment, joint venture or otherwise. Infor and the Company Websites are not a party to any transaction between you and any third-party advertisers or suppliers. You will look solely to the third party for all claims regarding their goods, services, content or information.
Right To Rely On Instructions
Infor may act in reliance upon any instruction, information, document, filing, name, email address or user password that meets the Company Sites’ automated criteria or which is believed by the Company Sites personnel to be genuine. For any password protected areas, Infor may assume a person entering a user name address and associated password is, in fact, that user or is authorized by that user to act on its behalf. Infor may assume the latest email addresses and registration information on file with the Company Sites are accurate and current. When programmed to do so, the Company Sites may take prescribed actions in the absence of receiving proper and complete contrary instructions.
Changes to Service
Infor reserves the right to modify, change or discontinue the Company Sites or any feature at any time without notice. You agree that Infor is not liable to you or to any third party as a result of any such action. Infor invites Users to make suggestions for ways that the Company Sites can be improved. If you make a suggestion, then you authorize Infor to use the idea and to publish your name in connection with the submission. Infor does not compensate for the use or publication of such submissions.

Under California Civil Code Section 1789.3, California residents are entitled to the following specific consumer rights information.
Pricing Information
Infor does not currently charge separate fees to use this Company Sites. Infor reserves the right to change fees, surcharges or to institute new fees at any time in its sole discretion, as provided in these Terms of Use.

Infor endeavors to protect the security of personal information. It uses a variety of security technologies and procedures to try to protect personal information from unauthorized access, use, or disclosure.
Miscellaneous
This document reflects the entire and exclusive agreement between the parties concerning your use of the Company Sites and supersedes all other agreements in relation thereto, whether written or verbal. Customers of Infor who use the Customer Portal are subject to the additional Customer Portal Terms of Use governing such use. Infor reserves the right to change these Terms of Use at any time. Such changes will not be retroactive. Your continued use of the Company Sites after the effective date of such amendment will constitute your acceptance of such change. This electronic document or a hardcopy duplicate in good form shall be considered an original document admissible into evidence unless the documents authenticity is genuinely placed in question. Infor reserves the right to assign these Terms of Use or delegate responsibility to any third party, including a party acquiring any of the operating assets or ownership interests of Infor. All licenses or permissions granted to you by these Terms of Use are personal in nature and may not be assigned, sublicensed or otherwise transferred and any attempt to the contrary is void, absent Infor’s written consent. Any provision of these Terms of Use found by a court to be illegal or unenforceable shall automatically be deemed conformed to the minimum requirements of law and shall thereupon be given full force and effect as so modified. Any waiver by Infor of a provision in one instance shall not preclude enforcement of it on future occasions. Headings are for reference purposes only and have no substantive effect.
